General Terms and Conditions (AGB)

1. Scope and Applicability
These General Terms and Conditions ("Terms") govern the use of the ApartmentRentals.ai platform and the Nimmi AI leasing assistant, operated by Urban Ground GmbH, Berlin, Germany ("we", "us", "Urban Ground"). ApartmentRentals.ai is a domain operated by Urban Ground GmbH. Nimmi AI is a brand of Urban Ground GmbH.
By creating an account or using any part of the platform, you agree to these Terms. These Terms apply exclusively. Any conflicting or supplementary terms of the customer are not accepted unless we expressly agree to their validity in writing (Section 305(2) BGB).
The platform is intended for property owners and managers acting in a commercial or professional capacity (Section 14 BGB). By registering, you confirm that you are acting in such capacity.
2. Definitions
The following terms have the meanings set out below when used in these Terms:
- "Platform" means the ApartmentRentals.ai web application, APIs, and all associated services operated by Urban Ground GmbH.
- "Owner" means the natural or legal person who registers an account on the Platform to manage property listings and lead screening. Also referred to as "you".
- "Applicant" means a prospective tenant who contacts a listing via the Platform's phone number or email address.
- "Listing" means a rental property advertisement created by the Owner on the Platform, including all associated screening criteria, availability windows, and contact channels.
- "Nimmi" means the AI voice assistant operated by the Platform that screens Applicants by phone on behalf of the Owner.
- "Screening" means the process in which Nimmi collects information from an Applicant during a phone conversation and presents the results to the Owner for review. Nimmi does not make any decisions about Applicants. The Owner reviews all screening results and makes all tenancy decisions independently.
- "Viewing" means a scheduled property visit between an Applicant and the Owner, booked through the Platform.
- "Package" means a one-time purchase that activates one or more listings with unlimited calls.
- "Call Pool" means the shared minute balance available across all of an Owner's active listings.
- "Dashboard" means the Owner's web-based control panel for managing listings, leads, viewings, usage, and account settings.
3. Service Description
Urban Ground provides an AI-powered property leasing platform under the brand ApartmentRentals.ai. The core service includes:
- Nimmi AI: an automated voice assistant that screens rental applicants via phone, 24 hours a day, 7 days a week
- Lead qualification based on Owner-defined criteria (household size, income, pets, move-in date, WBS status)
- Automated viewing scheduling with slot management and notifications
- Email and SMS notifications to Owners (new leads, viewing updates, usage alerts) and Applicants (viewing confirmations, reminders)
- A dedicated phone number and email address shared across all of the Owner's active listings
- Owner Dashboard for managing leads, viewings, listings, and usage analytics
- Call recording with Applicant consent for quality assurance and Owner review
Service Limitations:
- Nimmi's screening recommendations are decision-support tools only. The Owner is responsible for all final decisions regarding Applicants. Nimmi does not make legally binding decisions about rental applications.
- Nimmi does not provide legal, tax, or financial advice. Screening results do not constitute a professional assessment of an Applicant's suitability.
- Nimmi cannot independently verify the accuracy of information provided by Applicants during calls. AI-generated outputs, including screening summaries and qualification scores, may contain inaccuracies or misinterpretations (commonly referred to as "hallucinations"). The Owner is solely responsible for verifying all Applicant details and screening outcomes before making any tenancy decision.
- Platform availability is subject to reasonable maintenance windows and force majeure events. We target high availability but do not guarantee uninterrupted service.
4. Registration and Account
Registration requires a valid email address and phone number. Authentication is handled through Firebase. By completing registration, a service agreement between you and Urban Ground is established.
You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
One account per natural or legal person. We reserve the right to refuse registration or to close accounts that violate these Terms, contain false information, or are used for purposes other than legitimate property leasing.
You may delete your account at any time through the Dashboard settings. Upon deletion, your data will be retained in accordance with the retention periods described in Section 15 and then permanently purged.
5. Property Listings
Owners may create property listings on the Platform. Listings can be created by providing a URL from ImmoScout24, Immowelt, or Kleinanzeigen, or by uploading an expose PDF. The Platform does not scrape, crawl, or automatically extract data from third-party portals. All listing data is extracted exclusively from content that the Owner has expressly provided or consented to share.
When creating a listing via portal URL, the Owner initiates the extraction by clicking the download button on the respective portal page. The Owner thereby consents to the Platform processing the downloaded expose document. The Platform extracts property details (address, rent, rooms, area, amenities, photos) from this Owner-provided document only.
The Owner is solely responsible for the accuracy, completeness, and legality of all listing information. Listings must not contain discriminatory language or criteria prohibited under the AGG (see Section 11).
Each activated listing shares the Owner's dedicated phone number and email address. These contact channels remain active as long as the Owner has available balance in their Call Pool.
We reserve the right to suspend or remove listings that violate these Terms or applicable law without prior notice.
6. Pricing and Packages
Services are offered on a one-time payment basis. There are no recurring subscriptions. Current pricing, package details, and included minute allowances are displayed on the pricing section of our website and during the checkout process. The prices shown at the time of your purchase are binding.
All prices include 19% German VAT (Mehrwertsteuer). All amounts are in EUR.
Package Exhaustion
Your Call Pool consists of a shared minute balance across all your listings. You will receive a warning notification when usage reaches 80%. When your minutes are fully exhausted, Nimmi will pause screening calls until you purchase a Top-Up. Existing leads, viewings, and Dashboard access remain available during the pause.
7. Payment Terms
Payments are processed securely via Stripe, Inc. All amounts are charged in EUR at the time of purchase. Packages are activated immediately upon successful payment.
Accepted payment methods: Credit Card, Debit Card, SEPA Direct Debit, Klarna, and Link. Available methods may vary and are subject to Stripe's payment processing terms.
Invoices are generated automatically for each payment and are available for download in the Dashboard. Invoices comply with German tax law (UStG). Billing records are retained for 10 years in accordance with Section 147 AO.
8. Right of Withdrawal
As a commercial user (Section 14 BGB), you generally have no statutory right of withdrawal.
If you exceptionally qualify as a consumer (Section 13 BGB): During the checkout process, you expressly request that Urban Ground GmbH begins the service immediately, and you acknowledge that you lose your right of withdrawal once Nimmi starts handling inquiries for your listing (Section 356(5) BGB). This consent is collected via a mandatory checkbox before payment.
One-time payments are non-refundable after service activation, as the service (provisioning of phone number, email address, and Call Pool) is delivered immediately and in full.
9. AI Screening and Automated Processing
Nimmi conducts automated phone screening of Applicants based on the Owner's predefined criteria: household size, income relative to rent, move-in date, pet ownership, profession, and WBS status.
Nimmi's screening is a decision-support tool under Art. 22 GDPR. Nimmi does not make legally binding or solely automated decisions about Applicants. The Owner retains full control over which Applicants are invited for viewings and which are declined.
Nimmi operates as an AI system. Like all AI systems, Nimmi may produce inaccurate, incomplete, or misinterpreted outputs ("AI hallucinations"). Urban Ground does not warrant that Nimmi's screening results are error-free. The Owner acknowledges this inherent limitation and agrees that reliance on Nimmi's outputs is at the Owner's sole risk and judgment.
Nimmi collects explicit GDPR consent from each Applicant at the start of the call before processing personal data (Art. 6(1)(a) GDPR). Applicants are informed they are speaking with an AI system (EU AI Act Art. 50). If an Applicant declines consent, Nimmi offers the option to speak with a human or ends the call.
Urban Ground is not liable for any damages, claims, or losses arising from the Owner's reliance on Nimmi's screening outputs, including but not limited to incorrect qualification scores, missed information, or misinterpretations of Applicant responses.
The Owner is solely responsible for reviewing Nimmi's recommendations, verifying Applicant information independently, and making informed tenancy decisions in compliance with applicable law.
10. Call Recording
Screening calls between Nimmi and Applicants are recorded for quality assurance, dispute resolution, and to provide call playback to the Owner through the Dashboard. Nimmi obtains explicit verbal consent from each Applicant before recording begins, in compliance with Art. 6(1)(a) GDPR.
Call recordings are stored in Frankfurt, Germany (EU) and are retained for 90 days by default. Owners may configure shorter retention periods. After expiry, recordings are permanently deleted.
If an Applicant exercises their right to erasure under Art. 17 GDPR, the associated call recording will be deleted within 30 days of the request, unless a legal obligation requires continued retention.
11. Anti-Discrimination Compliance (AGG)
The German General Equal Treatment Act (Allgemeines Gleichbehandlungsgesetz, AGG) prohibits discrimination in housing. Nimmi is technically designed to comply with the AGG.
The screening process is limited to the following permitted criteria:
Permitted Screening Criteria:
- Household size (number of adults and children) relative to the property's capacity
- Net household income relative to the warm rent (minimum 2x ratio)
- Desired move-in date relative to the property's availability
- Pet ownership relative to the property's pet policy
- Profession type (for income verification purposes only)
- WBS (Wohnberechtigungsschein) status where the property requires it
Prohibited Criteria (technically blocked):
- Nimmi will never ask about or use: ethnicity, national origin, religion, disability, age, sexual orientation, pregnancy or family planning, political views, or marital status.
- If an Applicant voluntarily mentions any protected characteristic, Nimmi will not record, acknowledge, or use it as a screening factor.
- Owners must not configure criteria or listing descriptions that directly or indirectly discriminate on AGG-protected grounds.
- Violations of AGG obligations may result in immediate suspension of the affected listing or account termination.
12. Listing Content and Owner Responsibility
Urban Ground does not verify, validate, or independently confirm the accuracy of any listing content, property details, rental terms, or expose documents provided by the Owner. The Platform processes and displays listing information exactly as provided by the Owner.
The Owner is solely liable for the truthfulness and legality of all listing content. If an Owner provides false, misleading, or fraudulent listing information, the Owner bears full legal responsibility for any resulting damages to Applicants, third parties, or Urban Ground.
Urban Ground expressly disclaims any liability arising from fraudulent listings, misrepresented property details, or deceptive practices by Owners. The Platform acts exclusively on information provided by the Owner and does not independently inspect or verify the physical existence, condition, or legal status of any listed property.
Any abuse of the Nimmi AI service, including but not limited to using it to facilitate rental scams, collect personal data under false pretenses, or mislead Applicants, is a material breach of these Terms. Urban Ground reserves the right to immediately suspend the account, report such conduct to law enforcement, and cooperate fully with any resulting investigation.
13. Viewing Scheduling
Nimmi schedules property viewings for qualified Applicants based on the Owner's configured availability windows. Viewing slots are booked directly during the screening call.
Applicants receive a confirmation email after booking, followed by reminders 24 hours and 2 hours before the viewing. Owners receive a notification when a viewing is scheduled, cancelled, or when a no-show is detected.
The Owner is solely responsible for conducting viewings and for all interactions with Applicants outside the Platform. Urban Ground is not a party to any rental agreement between the Owner and an Applicant.
14. Notifications
The Platform sends transactional email and SMS notifications related to leads, viewings, billing, and account activity. These are service communications required for the Platform's operation.
Owners may configure notification preferences through Dashboard settings. Certain notifications (security alerts, billing confirmations, legal notices) cannot be disabled.
Notification delivery depends on third-party services (SendGrid, Twilio). We make reasonable efforts to deliver notifications promptly but do not guarantee delivery times.
15. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws (GDPR, BDSG, TDDDG). The Privacy Policy at apartmentrentals.ai/privacy forms an integral part of these Terms.
All personal data is stored and processed within the European Union, specifically in Frankfurt, Germany (Google Cloud europe-west3).
Where we process Applicant personal data on behalf of the Owner, the Owner is the data controller and Urban Ground is the data processor. The Data Processing Agreement (AVV) at apartmentrentals.ai/dpa governs this relationship.
Retention periods: Applicant screening data is retained for 90 days. Call recordings are retained for 90 days. Billing records are retained for 10 years (Section 147 AO, Section 257 HGB). The Owner may configure shorter retention periods for Applicant data.
16. Third-Party Service Providers
The Platform uses the following providers to deliver its services:

17. Acceptable Use
You agree not to:
- Use the Platform for discriminatory screening practices prohibited under the AGG or configure criteria that discriminate on protected grounds
- Upload false, misleading, or fraudulent property information or misrepresent the nature, condition, or availability of a listed property
- Attempt to circumvent Platform security measures, reverse-engineer the AI models, or access other users' data
- Use the Platform for any purpose other than legitimate property leasing activities
- Use Nimmi to collect personal data under false pretenses, facilitate rental fraud, or mislead Applicants in any way
- Resell, sublicense, or commercially redistribute access to the Platform or Nimmi's services without our prior written consent
18. Intellectual Property
All content, software, AI models, conversation flows, and technology constituting ApartmentRentals.ai and Nimmi AI are the exclusive intellectual property of Urban Ground GmbH. Your purchase grants a non-exclusive, non-transferable right to use the Platform for the duration of your active account.
Listing content uploaded by the Owner remains the Owner's intellectual property. The Owner grants Urban Ground a limited license to use this content solely for providing the Platform services.
19. Liability
Urban Ground is liable without limitation for damages caused intentionally (Vorsatz) or through gross negligence (grobe Fahrlassigkeit) in accordance with Section 276 BGB.
For simple negligence (einfache Fahrlassigkeit), Urban Ground is liable only for breach of material contractual obligations (Kardinalpflichten). In such cases, liability is limited to typical, foreseeable damages, capped at the total amount paid by the Owner in the 12 months preceding the event.
These limitations do not apply to liability for injury to life, body, or health, claims under the Product Liability Act (Produkthaftungsgesetz), or mandatory statutory liability.
Urban Ground is not liable for: (a) the accuracy or completeness of information provided by Applicants; (b) AI-generated screening outputs including inaccuracies or hallucinations; (c) the Owner's tenancy decisions based on Nimmi's recommendations; (d) the truthfulness of listing content provided by the Owner; (e) any fraudulent, misleading, or illegal use of the Platform by the Owner.
Urban Ground is not liable for failures or interruptions caused by third-party service providers (Stripe, Twilio, Retell AI, Google Cloud, Anthropic), provided that Urban Ground has exercised due care in selecting and monitoring these providers.
20. Indemnification
The Owner agrees to indemnify and hold harmless Urban Ground GmbH from any claims, damages, losses, and expenses arising from: (a) the Owner's violation of these Terms or applicable law, including the AGG; (b) false or misleading listing information provided by the Owner; (c) any dispute between the Owner and an Applicant arising from the Owner's tenant selection decisions; (d) any fraudulent or abusive use of the Platform by the Owner or persons under the Owner's control.
21. Suspension and Termination
The Owner may delete their account at any time through the Dashboard. Upon deletion, active listings are deactivated, the phone number and email are released, and Nimmi stops accepting calls.
Upon deletion, screening data is retained for the remaining retention period (default 90 days from screening date) then permanently purged. Billing records are retained for 10 years (Section 147 AO).
We reserve the right to immediately suspend or terminate your account without prior notice if we reasonably suspect any violation of these Terms, in particular violations of the Acceptable Use policy (Section 17), anti-discrimination requirements (Section 11), or fraudulent activity (Section 12). In such cases, no refund of unused Call Pool balance is owed.
Unused Call Pool balance is not refundable upon voluntary account deletion or termination, except where required by mandatory law.
Sections on Data Protection, Liability, Intellectual Property, and Indemnification survive termination of the contractual relationship.
22. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and German conflict-of-laws rules.
For merchants and legal persons, the exclusive place of jurisdiction is Berlin, Germany (Section 38 ZPO). For consumers, the statutory jurisdiction rules apply.
23. Dispute Resolution
The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to the VSBG.
24. Severability
Should any provision of these Terms be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that achieves the economic purpose of the invalid provision as closely as possible (Section 306 BGB).
25. Amendments
We may amend these Terms with at least 30 days' prior notice sent to your registered email address. If you do not object within the notice period, the amended Terms are deemed accepted. We will inform you of your right to object and the consequences of not objecting.
Material changes to pricing require your express consent and are not subject to the deemed-acceptance mechanism.
